Recorder of Story County,Iowa,on August 17,2006,as Instrument No:2006-10276(the"Ori al
Declaration"), as amended by that certain First Amendment.to Declaration of Covenants and
Conditions for Ringgenberg Park Subdivision,Ames,Story County,Iowa,dated June I;2012;and
filed in the office ofthe Recorder of Story County,Iowa,on September 2.1;2012,as Instrument No.
2012-11205 (the "First.Amendment");as further amended by that certain Second Amendment to
Declaration of Covenant and Conditions for Ringgenberg Park Subdivision,Ames;Story.County,
Iowa,dated April 3,2014- and filed in the office of the Recorder of Story County,Iowa,on April 4;
2014,as Instrument No.2014=00002315.(the"Second Amendment"),and as further amended by that
certain Third Amendment to Declaration of Covenants and Conditions for Ringgenberg Park
Subdivision, Ames, Story County,:Iowa, dated NOAM kc- 15., 2016; and.filed.in the office of the
Recorder of Story County,:Iowa,onDQceMh :Iy,.2016,as Instrument No.2016- .I a (the
"Third Amendment")(the Original D.eclaration,the.First Amendment,the"Second Amendment,and
the Third Amendment are hereinafter collectively referred to herein as the"Declaration'')as other
members of the Association are able to use the Greenspace in accordance with the Declaration;and
WHEREAS,the Association desires to allow the Neighboring Owners to use the.Greenspace
as Common Area as if the Neighboring.Owners and/or the Neighboring Properties were members of .
the Association-and/or subject to"the.Declaration; and
NOW)-THEREFORE, in consideration.of,the Recitals and .of.the.mutual covenants . .
contained herein, and -reliance. on .the' same, the receipt and sufficiency of which:is hereby
acknowledged,the Parries,do.hereby agree as follows:
I.- INCORPORATION By REFERENCE: The Recitals described above are incorporated
herein.by thus reference and made a part of this Agreement as if more£ally set forth verbatim.
2. USE OF GREENSPACE. The Neighboring Owners,for the benefit of the Neighboring
Properties;shall be allowed to use the Greenspace:as Common Area as if the Neighboring Owners
and/or.the Neighboring.Properties were members of the Association and/or subject to the Declaration.
The Parties understand,acknowledge;and agree that the allowance provided herein provides only use - .
and access to the Cmx*pace for the Neighboring Owners;,and that the Neighboring Owners shall not
be considered members of the Association and shall have no other rights or priviliges with respect to..
the Greenspace.and/or:the Declaration. The Neighboring Owners shall,at all times the Greenspace is
being .used or accessed pursuant to this Agreement, comply with-any=and all restrictions and
conditions of the Declaration or as may be set forth by the Association with respect to the use and
Access of the Greenspace and/or Common Area by members of the Association.
3: -.CONSIDERATION. In:consideration-of the terms and conditions contained in this. .
Agreement; and in exchange for the use and access of the Greenspace provided herein, the.Parties
understand;acknowledge;and agree that the Neighboring.Owners shall provide the Association with
the following annual payments.(collectively,the"Greenspace Payments
: .a.. . . Each owner of Lots One(1)through Eight(8),.Ringgenberg Park Subdivision Fourth.
Addition,Ames; Story County,Iowa shall pay.to the Association an amount that is
equal to the product of twelve.(12)and ten percent(10%)of the annual dues assessed .

against members of the.Association;
b. The owner:-of Lot Twelve (12); Ringgenberg Park Subdivision Fourth Addition,,
Ames;Story County;Iowa shall pay to the Association an amountthat is equal to the
product of fifty (50) and ten percent (10%) of the annual dues assessed against
members of the Association;and
C. The owners of Lots One (1)through Thirteen(13),Ringgenberg Park Subdivision
Fifth Addition,.Ames;Story County,_Iowa shall pay to.the Association,collectively,
amount that is equal to the product of thirteen(13)and ten

The Greenspace Payments shall be paid by the Neighboring Owners to the Associationat such time
and in such manner as the Association-collects similar dues from the.members thereof. .

connection with.the:subj ect matter of.this Agreemen: No.agreements,discussions or understandings
not expressed in this Agreement executed by the Parties shall be binding upon the Parties or shall
affect this Agreement in any way.
6: .. SEVERABILrIY. : If any-term'or provision Of.this 'Agreement is field invalid .or
unenforceable to any extent;the remaining terms and provisions of this Agreement shall not be affected
thereby,but each term andprovision ofthis Agreement shall be valid and enforce to.the fullest extent
permitted by.law.
7:_ SUCCESSORs AND ASSIGNS. The terms of this Agreement are binding upon and inure
to the benefit.of the Parties hereto'amd each of.their.respective heirs;representatives,administrators,
executors;successors and assigns,-and.shall run with the Greenspare and the Neighboring Properties
and be:binding.on the successors in interest-thereof.
8: AMENniv�ENTs. 'The terms;covenants;conditions,and provisions of this Agreement.
shall notbe altered,.changed,modified,added'to or deleted from;except in a writing signed by all of
the Parties hereto.
A. ENFORCEMENT AND INTERPRETATION, In the event of litigation to enforce or interpret
this Agreement;the prevailing Party Sha11 be entitled to recover costs,and.attorney fees:
10. INDEMNIFICATION; Except to the extent caused by an intentional act of or the
negligence of the Association.as determined by.a final,non=appealable:order of a court of competent
jurisdiction,the Neighboring Owners shall defend,protect,indemnify and hold the Association,its

agents;officers,directors;employees,successors and assigns harmless from and against any and all
claims, causes of action; losses; costs; liabilities, damages, or expenses, including reasonable
attorneys' fees. arising in connection with,resulting from, or in any way related to any breach of
warranty, representation, coyenant, or nonfulfillment of any agreement on the part .of the
Neighboring:Owners under this Agreement.
