I have since received that document and also an email from Eric with the breakdown of cost items that this LOC is security for. My first check of an LOC is to make sure the dollar amount figures match in all 3 places: in the agreement for public improvements, to Eric's email, to the actual Letter of Credit from the financial institution. In this case, all three places show the same figure, which is $792,428.85. The next thing I review is to see if the entity that signed off on all the subdivision documents is the same as the one shown on the LOC. I am also checking to see if the LOC identifies what specific project, by name, is being secured with these funds, since a developer may have more than one project that they are working on at any given time. The importance of having these match is twofold. First, it is necessary so that the City Clerk, who is charged with keeping track of these LOCs, can readily identify what project a specific LOC goes with. The second is a proof issue. If someone later asserts that this LOC does not go with this project or this developer, I am looking for what documentation we would have to come up with to actually prove that what is shown on the LOC matches to a specific project and developer. When the subdivision documents refer to the subdivision as "Village Park", the LOC should state on its face that it is for the Village Park subdivision. Same for the developer. Here, the subdivision documents are signed by Hunziker Development Company, LLC, yet the LOC says that the applicant is 130 Dotson LLC. The LOC should have the applicant match the entity identification on all the contract documents. In other words, the LOC should show Hunziker Development Co, LLC, obtained this LOC. Dotson 130 LLC is the not the same entity as Hunziker Development Company, LLC. The LOC also should have the project readily identifiable on the face of the LOC document, using the same identification (subdivision name) that other departments handling the project use. This LOC has 'Village Park' handwritten on the top, but I don't know whose handwriting that is. I would bet that the issuing bank's record of this LOC doesn't have this handwritten notation on it. Those identifiers (developer name and project) should be printed on the Letter of Credit by the financial institution issuing that LOC using the same lettering as everything else that bank printed on. If the applicant on the LOC matched the legal entity that is signing the subdivision documents, and if it identified the subdivision that is being secured, I would not have objection to this one. There is a place on the form for special instructions. The issuer of this LOC should revise this one by adding, in type, that this LOC was obtained by Dotson 130 LLC for the use and benefit of Hunziker Development Company LLC to secure improvements to the Village Park Subdivision. As this LOC presently exists, it is not acceptable. This is not the first time I have asked for this type of clarification in subdivision LOC submittals, and I will continue to request it in the future. Those submitting unclear documents are only holding their own development up.
