ATTORNEY'S TITLE OPINION
I, David W. Benson, the undersigned, state:
1. I am an attorney licensed to practice in the State of Iowa and my principal
place of business is located at 1416 Buckeye Ave., Suite 2000 Ames, IA 50010-8070
(Telephone: 515-956-3 900).
2. Pursuant to section 354.11 of the Code of Iowa, I have examined the
abstract of title to the real property described in the attached subdivision plat to be known
as McFarland Subdivision,Ames, Iowa.
3. Based on such examination, I find that fee simple title to said real property
is vested in:
Ames Associates, an Illinois limited partnership.
4. Based on such examination, I find that the following entities are the
holders of mortgages, liens, or other encumbrances on said real property being platted:
(a) A mortgage and an assignment of leases and rents granted by Ames
Associates, an Illinois limited partnership to Cohen Financial Corporation to
secure an original indebtedness of$3,700,000; are dated April 14, 1998; were
filed in the office of the Recorder of Story County, Iowa, on April 15, 1998,
and recorded as Instrument Numbers 98-04649 (mortgage) and 98-04650
(assignment of leases and rents). Cohen Financial Corporation has assigned
its interest in the mortgage and assignment of leases and rents to LaSalle
National Bank by virtue of assignments recorded as Instrument Numbers 99-
03599 and 99-03600.
(b) A memorandum of lease, rights under which were granted by Ames
Associates, an Illinois limited partnership (as Landlord), to McFarland Clinic,
P.C. (as Tenant), was filed in the office of the Recorder of Story County, Iowa
on September 30, 1997, and recorded as Instrument Number 97-10517.
