Declaration'), as amended by that certain First Amendment to Declaration of Covenants and
Conditions for Ringgenberg Park Subdivision,Ames,Story County,Iowa,dated June 11,2012,and
.filed in the office of the Recorder of Story County,Iowa,on September 21,2012,as Instrument No.
2012-11205 (the "First Amendment"), as further amended by that certain Second Amendment to
Declaration of Covenants and Conditions for Ringgenberg Park Subdivision,Ames,Story County,
Iowa,dated April 3,2014,and filed in the office of the Recorder of Story County,Iowa,on April 4,
2014,as Instrument No.2014-00002315(the"Second Amendment"),and as further amended by that
certain Third Amendment to Declaration of Covenants and Conditions for Ringgenberg Park
Subdivision, Ames, Story County; Iowa, datedNov�+��es 15 , 201.6, and filed in the office of the
Recorder of Story County,Iowa,on Pnte_ �2016,as Instrument No,2016-2aa �A ";1 (the
"Third Amendment')(the.Original Declaration,the First Amendment,the Second Amendment,and
the Third Amendment are hereinafter collectively referred to herein as the "Declaration') as other
members of the Association are able to use the Greenspace in accordance with the Declaration;and
WHEREAS,the Association desires to allow the Neighboring Owners to use the Greenspace
as Common Area as if the Neighboring Owners and/or the Neighboring Properties were members of
the Association and/or subject to the Declaration;and
NOW, THEREFORE, in consideration of the. Recitals and of the mutual covenants
contained herein, and reliance on the same, the receipt and sufficiency of which is hereby
acknowledged,the Parties do hereby agree as follows:
1. INCORPORATION By REFEmwg. The Recitals described above are incorporated
herein by this reference and made a part of this Agreement as if more fully set forth verbatim.
2. USE OF GREENSPACE. The Neighboring Owners,for the benefit of the Neighboring
Properties,shall be allowed to use the Greenspace as Common Area as if the Neighboring Owners
and/or the Neighboring Properties were members of the Association and/or subject to the Declaration.
The Parties understand,acknowledge;and agree that the allowance provided herein provides onlyuse
and access to the Greenspace for the Neighboring Owners,and that the Neighboring Owners shall not,
be considered members of the Association and shall have no other rights or priviliges with respect to
the Greenspace and/or the Declaration. The Neighboring Owners shall,at all times the Greenspace is
being used or accessed pursuant to this Agreement, comply with any and all restrictions and
conditions of the Declaration or as may be set forth by the Association with respect to the use and
access of the Greenspace and/or Common Area by members of the Association.
3. CONSIDERATION. In consideration of the terms and conditions contained in. this
Agreement, and in exchange for the use and access of the Greenspace provided herein, the Parties
understand,acknowledge,and agree that the Neighboring Owners shall provide the Association with
the following annual payments(collectively,the"Greenspace.Pa rn�ents"):
a. Each owner of Lots One(1)through Eight(8),Ringgenberg Park Subdivision Fourth
Addition,Ames, Story County,Iowa shall pay to the Association an amount that is
equal to the product of twelve(12)and ten percent(10%)of the annual dues assessed

against members of the Association;
b. The owner of Lot Twelve (12), Ringgenberg Park Subdivision Fourth Addition,
Ames,Story County,Iowa shall pay to the Association an amount that is equal to the
product of fifty (50) and ten percent (10%) of the annual dues assessed against
members of the Association;and
C. The owners of Lots One (1)through Thirteen (13),Ringgenberg Park Subdivision
Fifth Addition,Ames,Story County,Iowa shall pay to the Association,collectively,
an amount that is equal to the product of thirteen(13)and ten percent(10%)of the
annual dues assessed against members of the Association.
The Greenspace Payments shall be paid by the Neighboring Owners to the Association at such time
and in such.manner as the Association collects similar dues from the members thereof.
4. MAINTENANCE OF GREENSPACE. The Association shall,at the sole and absolute cost
and expense of the Association(except with respect to the Greenspace Payments), maintain the
Greenspace in.accordance with the Declaration.
5. ENTIRE AGREEMENT. This Agreement executed by the Parties constitutes the entire
agreement between the Parties pertaining to the subject matter of this Agreement,and it supersedes
all negotiations and all prior or contemporaneous discussions and understandings of the Parties in
connection with the subj ect matter of this Agreement. No agreements,discussions or understandings
not expressed in.this Agreement executed by the Parties shall be binding upon the Parties or shall
affect this Agreement in any way.
6. SEVERABILITY. If any term or provision of this Agreement is held invalid or
unenforceable to any extent,the remaining terms and provisions of this Agreement shall not be affected
thereby,but,each term and provision of this Agreement shah,be valid and enforced to the fullest extent
permitted.by law.
7. SUCCESSORS AND Assms. The terms of this Agreement are binding upon and inure
to the benefit of the Parties hereto and each of their respective heirs,representatives,administrators,
executors,successors and assigns,and shall run with the Greenspace and the Neighboring Properties
and be binding on the successors in interest thereof.
8. AMENDMENTS. The terms,covenants,conditions,and provisions of this Agreement
shall not be altered,changed,modified,added to or deleted from,except in a writing signed by all of
the Parties hereto.
9. ENFORCEMENT AND INTERPRETATION. In the event of litigation to enforce or interpret
this Agreement,the prevailing Party shall be entitled to recover costs and attorney fees.
10. INDEMNIFICATION. Except to the extent caused by an intentional act of or the
negligence of the Association as determined by a final,non-appealable order of a court of competent
jurisdiction,the Neighboring Owners shall defend,protect,indemnify and hold the Association,its

agents,officers,directors,employees,successors and assigns harmless from and against any and all
claims, causes of action, losses, costs, liabilities, damages, or expenses, including reasonable
attorneys' fees, arising in connection with,resulting from, or,in any way related to any breach of
warranty, representation, covenant, or nonfulfillment of any agreement on the part of the
Neighboring Owners under this Agreement.
