The Parties enter into this Agreement to resolve the joint use of the Pond as a storm water detention facility to benefit the Lots,their mutual responsibility for the maintenance of the Pond,and to dedicate the Pond as a joint,mutual,and reciprocal easement appurtenant to the Lots. 3. FASEMENT USES. The Parties hereby reserve a perpetual easement within,over,upon, across,and under the Easement Area,as applicable,for the recreational use of the Parties'employees,residents, and invitees, provided such invitees are accompanied by an employee or resident of either of the Parties, subject,however,to the following limitations: a. No person under sixteen(16)years of age shall be permitted to use the Pond or the rights granted in this Agreement with respect to the Easement Area without adult supervision; b. The Pond and the rights granted in this Agreement with respect to the Easement Area shall only be available for recreational purposes during daylight hours; c. No boating or swimming shall be permitted within the Pond or within the Easement Area without written permission from both Parties,and such permission shall not be unreasonably withheld;and d. When the Easement Area is used for boating or swimming,an employee of either of the Parties shall be present to provide supervision. Neither of the Parties,nor any of the successors and assigns thereof,shall obstruct or impair the use of the easement rights reserved and granted herein on the Lots within the respective Easement Area. 5. EASEMENT MAINTENANCE. The Parties shall share equally in the costs of all maintenance,repair,and inspection work necessary to maintain the Pond and/or the Easement Area Except in emergency situations in which,under either Parties'reasonable business judgment,delay will risk personal injury or property damage or materially increase the cost of repairs and it is not practical to obtain the prior written consent of the other Party to implement appropriate corrective action,both Parties agree that they will submit all proposed contracts for maintenance,repair,and inspection work proposed to be undertaken by it on the Easement Area to the other Party at least fourteen (14) calendar days before entering into said contracts,and will give due consideration to any alternative proposal provided by the other Party prior to the end of the fourteen(14)day period with respect to lower costs and/or to any reasons proffered by the other Party as to why the work is not required. All work on the Easement Area shall be performed only by contractors approved in writing by the other Party,such approval not to be unreasonably withheld,conditioned or delayed. The Party desiring the work shall cause all contractors engaged by it to perform work,on the Easement Area to(i)maintain insurance coverage and/or provide performance and payment bonds reasonably requested,and(ii)perform all work in accordance with all Laws and in a good and workmanlike manner. For purposes of this Agreement,the term "Laws" means all federal, state, and county laws, ordinances, rules and regulations, court orders, and governmental directives and orders,affecting the Easement Area. Within thirty (30) days of completion of the maintenance, repair, and inspection work, the Party contracting for the work shall submit an itemized statement to the other Party with a request for the reimbursement of one-half(''/Z)of maintenance,repair,or inspection expenses incurred by the contracting Party. The other Party shall reimburse the contracting Party one-half('/z)of the expenses incurred related to the maintenance, repair, or inspection of the Pond or the Easement Area within thirty(30)days after the receipt of the reimbursement request from the contracting Party. 6. L.ANDSCAPING. Each Party shall be responsible for mowing and landscaping that portion of the Easement Area that is located upon their respective Lot. Neither party shall erect,plant,or install or cause to be placed on the Easement Area any tree,shrub,planting,or structure that could possibly obstruct or impede the normal flow and detention of surface water over the Easement Area without obtaining the prior written approval of the other Party. 7. ERRMON OF S3:RUSTURF.S PROHIBITED. The Parties shall not erect any building, structure, or other improvement, over or within the Easement Area without obtaining the prior written approval of the other Party. Notwithstanding the forgoing, in the event any dock, pier, float, or similar structure is constructed upon or within the Easement Area,both Parties shall share equally in the expense of that construction in the same manner as set forth in Paragraph 5 hereof. Both Parties and their successors in interest shall have a perpetual easement over any dock, pier, float or similar structure so constructed in accordance with this Paragraph 7,subject to the restrictions set forth in Paragraph 4 hereof. x 8. CHANGE OF GRADE EROHIBITED. Neither Party shall change the grade,elevation,or contour of any part of the Easement Area without obtaining the prior written consent of the other Party. 9. INDEMNIFICATION. Each Party agrees to indemnify and hold the other Party harmless as to any and all loss,damage,cost, or expense sustained and as to all liability to third persons by reason of damages or injuries to persons or property resulting from the Party's breach of the terms of this Agreement. 10. RI ,HT OF ACCESS, The Parties,their agents,contractors,employees,residents,assigns and invitees shall have the right of access to the Easement Area for the purposes as herein described. 11. EASEMENT RUNS WITH LAND. The easement rights granted herein shall be deemed to run with the land and shall inure to the benefit of, and be binding upon, the Parties hereto and their successors and assigns. 12. Ri(;HTS FS .RVF.D.The Parties reserve any and all rights to continue to use and enjoy the Lots for any and all purposes that do not unreasonably interfere with or interrupt the enjoyment of the easement rights granted in this Agreement. 13. NONEXCLUSIVE EAS .MENT, The easement rights granted under this Agreement are nonexclusive. This Agreement shall not preclude the Parties from granting similar easement rights to third parties upon terms and conditions that do not impair or diminish the rights granted under this Agreement to the other Parties. 14. TITLE WARRANTY.The Parties warrant they hold title to their respective Lot in fee simple with good and lawful authority to grant the easement rights herein provided for, and that any prior liens or encumbrances on the Lots will either be released forthwith or will be subordinated to the easement rights granted herein by a duly executed and recorded subordination agreement. 15. INTERPRETATION.Words and phrases used in this Agreement shall be construed as in the single or plural number,and as masculine,feminine or neuter gender,according to the context. This Agreement shall be governed exclusively by and construed in accordance with the laws ofthe State of Iowa. The paragraph headings in this Agreement are for convenience only and in no way define or limit the scope or intent of any provisions herein. 16. ENTIRE &jHEEMZNJ. This instrument constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior statements, representations, promises,and agreements,oral or written. No addition to or change in the terms of this Agreement shall be binding upon the Parties unless it is expressed in a writing signed by the Parties. 17. F.OUITABLF. RIGHTS OF ENFORCEMENT. The rights granted herein may be enforced by restraining orders and injunctions, temporary or permanent, prohibiting interference and commanding compliance. Restraining orders and injunctions will be obtainable on proof of the existence of interference or threatened interference,without the necessity of proof of inadequacy of legal remedies or irreparable harm, and will be obtainable only by the Parties to, or those benefited by, this Agreement; provided,however,that the act of obtaining an injunction or restraining order will not be deemed to be an election of remedies or a waiver of any other rights or remedies available at law or in equity. 18. ATTORNEYS' FEES, If either Party retains an attorney to enforce this Agreement, the Party prevailing in litigation is entitled to recover reasonable attorney's fees and court and other costs. i 19. CHOICE QF LAM VENUE. This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa,without reference to conflicts of law provisions.Both Parties hereby submit to the exclusive jurisdiction of the state courts located in Story County,Iowa,or,as the case may be,the federal courts located in Des Moines,Iowa,for any claim relating to this Agreement. Each of the Parties irrevocably waives any objection, including,without limitation,any objection to the laying of venue or based on the grounds of forum non conveniens,that it may now or hereafter have to the bringing of such action or proceeding in such respective jurisdictions. 20. SEVERABILiTY,In the event any provision of this Agreement is held invalid, illegal or unenforceable,in whole or in part,the remaining provisions of this Agreement shall not be affected thereby and shall continue to be valid and enforceable and if,for any reason,a court finds that any provision of this Agreement is invalid, illegal or unenforceable as written, but that by limiting such provision it would become valid, legal and enforceable, then such provision shall be deemed to be written and shall be construed and enforced as so limited. 21. NOTICE. Unless otherwise required by law,any notice or demand required or permitted by the terms of this Agreement shall be sufficient and deemed complete when expressed in writing and either(a)personally delivered to the person entitled thereto,or(b)deposited at any office of the United States Postal Service in the form of certified mail addressed to the last known mailing address of the person entitled thereto,or(c)served on the person entitled thereto in the manner of an original notice under the Iowa Rules of Civil Procedure. Any address for notice may be changed by written notice delivered as provided herein. 22. COUNTERPARTS.This Agreement may be executed in any number of counterparts,each of which shall be deemed to be an original, but all of which together shall constitute one and the same instrument,and in making proof hereof, it shall not be necessary to produce or account for more than one such counterpart.
