I, David W. Benson, the undersigned attorney, have exam-
ined the record title to the real estate described in the at-
tached plat, to be known as NORTHWOOD PLAZA FIRST ADDITION TO
THE CITY OF AMES, IOWA, and based thereon I am of the opinion
that record merchantable fee simple title 'to said real estate
is vested in RANDALL'S INTERNATIONAL, INC. , a South Dakota
Corporation, and NORTHWOOD PLAZA ASSOCIATES LP, a New Jersey
Limited Partnership, free from encumbrances, except for those
encumbrances in favor of (a) Wal-Mart Stores, Inc. , a Dela-
ware Corporation; and (b) First National Bank of Boston, a
national banking association, and G. Patrick- McEnroe, as
trustees; and for which encumbrances the holders thereof have
executed consents to said plat, all this dJ day of
1990.
