ATTORNEY'S OPINION
I, Frank B. Johnston, hereby state that I am an Attorney at Law, duly admitted to
the practice of law in the State of Iowa, and a member of the firm of Newbrough, Johnston,
Brewer, Maddux& Krauth, L.L.P.,with offices at 612 Kellogg Avenue, Ames, Story County,
Iowa.
I further state that I have examined the Abstract of Title to the following-described
real estate, to-wit:
A Replat of Lot Three (3), Iowa State University Research Park First
Addition, Ames, Iowa, AND a Replat of Parcel "Z"in the Southwest Quarter
(SW 1/4) of Section Fifteen (15), Township Eighty-three (83) North, Range
Twenty-four (24) West of the 5th P.M., Story County, Iowa, as shown on the
Plat of Survey filed in the office of the Recorder of Story County, Iowa, on
October 18, 1996, Instrument No. 96-11476 in Certificate & Field Notes Book
14, page 86, AND a part of the Northeast Quarter of the Southwest Quarter
(NE 1/4-SW 1/4) of said Section Fifteen(15), all lying South of Airport Road
in the City of Ames, Iowa, and described as follows: Beginning at the
Northwest (NW) Corner of the Southwest Quarter of the Southwest Quarter
(SW 1/4-SW 1/4) of Section Fifteen (15), Township Eighty-three (83) North,
Range Twenty-four (24) West of the 5th P.M., in the City of Ames, Story

Airport Road, thence South 00°04'17"West 60.00 Feet along a line parallel
with and 33 Feet East of the West line of the Southwest Quarter of the
Southwest Quarter (SW 1/4-SW 1/4) of said Section Fifteen (15) to the
Northwest (NW) Corner of Lot Three (3), Iowa State University Research
Park First Addition, Ames, Iowa, (the following five calls are along the
Southeasterly sides of Airport Road as platted in Iowa State University
Research Park First Addition, Ames, Iowa) thence North 89049'57" East
193.80 Feet, thence Northeasterly, along an 878.51 foot radius curve, concave
Northwesterly, an arc distance of 876.94 Feet (the long chord bears North

Abstract Company, Nevada, Iowa (Iowa Title Guaranty Division Member #8212). The real
estate has been subdivided and is now known as IOWA STATE UNIVERSITY RESEARCH
PARK THIRD ADDITION, AMES, IOWA (a Replat of all of Lot Three (3), Iowa State
University Research Park First Addition, Ames, Iowa, and a Replat of Parcel "Z" of the
Plat of Survey in the Southwest Quarter (SW 1/4) of Section Fifteen (15), Township Eighty-
three (83) North, Range Twenty-four (24) West of the 5th P.M., Story County, Iowa, filed
in the office of the Recorder of Story County, Iowa, on October 18, 1996, Certificate &
Field Notes Book 14, page 86, Instrument No. 96-11476, and of a part of the Northeast
Quarter (NE 1/4) of the Southwest Quarter (SW 1/4) of said Section Fifteen (15), all lying
South of Airport Road in the City of Ames, Iowa.

Based upon information within said Abstract of Title, it is my opinion that the fee
simple title to said real estate is vested in IOWA STATE UNIVERSITY RESEARCH PARK,
an Iowa nonprofit corporation.
The real estate is subject to the following encumbrance:
A Mortgage dated October 21, 1996, and filed in the office of the Recorder of Story
County, Iowa, on October 22, 1996, Instrument No. 96-11594.
The real estate is free from encumbrances other than those referred to herein.
The property is further subject to easements and restrictions of record and to zoning
ordinances of the City of Ames, Iowa.
