ATTORNEY'S OPINION
I, Frank B. Johnston, hereby state that I am an Attorney at
Law, duly admitted to the practice of law in the State of Iowa,
and a member of the firm of Newbrough, Johnston, Brewer, Maddux &
Nadler, with offices at 612 Kellogg Avenue, Ames, Story County,
Iowa. I further state that I have examined the Abstract of Title
to the following-described real estate, to-wit:
Lot Ten (10) , Ames Community Industrial Park
Subdivision, Ames, Iowa,
from the root of the title thereof, down to and including the
fJ day of last certified by Cyclone
Abstract & Title Co. , Ames, Iowa (Iowa Title Guaranty Division
Member No. 8195) . The real estate has been subdivided and is now
known as AMES COMMUNITY INDUSTRIAL PARR SUBDIVISION, SECOND
ADDITION, AMES, IOWA (A REPLAT OF LOT TEN (10) , AMES COMMUNITY
INDUSTRIAL PARK SUBDIVISION, AMES, IOWA) .
Based upon information within said Abstract of Title, it is
my opinion that the fee simple title to the real estate is in
Dayton Park, Ltd. , an Iowa Limited Partnership, and that said real
estate is free from encumbrances; the property is subject to
easements of record, including easements established by an
instrument dated September 22 , 1992 , and filed in the office of the
Recorder of Story County, Iowa, on October 6, 1992 , in Book 335,
commencing at page 261, which grants certain utility easements to

the City of Ames, Iowa, its successors and assigns; the real estate
is further subject to a Development Agreement for the Ames
Community Industrial Park Tax Increment Finance District dated June
1, 1992, and filed in the office of the Recorder of Story County,
Iowa, on June 9, 1992, in Book 326 at page 131; the real estate is
further subject to zoning ordinances of the City of Ames, Iowa.
