BY-LAWS
ARTICIX III - Board of Directors
SECTION 2. Number, Tenure, and Qualifications. The number of directors
of the coapoaration shall be thirty-three (33) with said poeftlara, including
vacancies therein, filled as follms:
a. Three (3) positions shall be filled by students enrolled in and
attending Central junlvr Sigh School, Ames,, le-ea. It is suggested that such
individuals be eel-cted by they student council thereof such that representation
of grades 7, 8, and 9 In azzured.
b. Three (3) positions shall be filled by students enrolled in and
attendimS Wail ch JUnA®r Sigh School, Ames, Iowa. It is suggested that such
Individuals be oelexctcd by the student council thereof such that representation
of grades 7, S, and 9 Is assured.
c. Three (3) -posittlons shall be filled by students enrolled In and
attamding Ames Senior Sigh School, Ames, law c. It is suggested that such
indivi.dm-to be salecyted by the student council thereof such that representation
of grades 10, 11 and 12 is assured.
d. Your (4) pooltiom smeall be filled by students a a=olled In mad at-
tending Iowa State niv ralty, Ames, Ioaa. It is suggested that such indlu-1-

ARTICLE IV - Officers
SECTION 5. President. The prasi.daut shall be the principal executive
officer of the corporation and, subject to the control of the board of
directorz, shell in general supervise and control all of the business and
affairs of the corporation. He shall, when present, preside at all annual
i-
meatings of the corporation and all meetings of the board of directors. Be
stall have authority, subject to Article V hereof, to sign, execute, and
ackn�wledgo, on behalf of the corporation, all deeds. mortgages, bonds,
stock cortificatea, contracts, leases, reports, said all other documents or
instruments necessary or proper to be executed In the course of the corp-
oration's regular business, or which shall bm authorized by resolution of
the board of directors; and, except as othercaise provided by law or the
board of directors, he may authorize the vice-president or other officer of
the corporation to sign, execute and adknowledSe such documents or in-
struments in his place and stead. In general he shall perform all duties
Incident to the office of president and such other duties as may be pre-
scribed by the board of directors from time to time.
. SECTION,6. Vice-president. In the absence of the president or in the
event of his death, inability or refusal to act, the vice-president shall
perform-the duties of the president, and when so acting, shall hate all the
powers of and be subject to all the restrictions upon the president. The
vice-president stall perform such other duties and have such authority as
from time to t1me ney be assigned to him by the president or by the board
of directors.
HMM 77. Secretary treasurer. The secretary-treaeurer shall: (a)
keep the minutes of the annual corporation meetings and of the board of
directors' meetings im one or more books provided for that purpose; (b) see
that all notices are duly given in accordance with the provisions of these
by-laws or as required by late; (c) be custod of the corporate records;
(d) keep a register of the post office ad ress of each giber of the board
of directors; (a) certify board of directorP resolutions; (f) have charge
and custody of and be.responsible for all funds and securities of the corp-
oration; receive and give receipts for moneys due and payable to the cory -
oration from soy source whatsoever, and endorse and deposit all such moneys
In that name of the corporation in such banks, trust companies, or other de-
poeitories as shall be designated by board of director resolution in accord-
ance with the provisions of Article V hereof; (g) function as principal
accounting officer in charge of books of account, accounting records and
forms of the corporation; (h) maintain adequate records of all assets. Lia-
bilities and transactions of the eorporstioa; (1) obtain from other officers
all reports needed for recording the general operation of the corporation or
for supervising and directing accounts; W prepare the corporate balance
sheet, fimsoetal. statements and reports as directed by the president or board
of directors; (k) prepare and file tax returns and reports in connection
therewith required by law with necessary legal end accounting counsel and ad-
vice; and (1) in general perform all the duties incident to the office and
have such other duties and exercise suit® other authority as from time to time
may be delegated or assigned to him by the president or by the board of
directors.
