HomeMy WebLinkAboutA016 - Agreement for Joint and Cooperative Activity to Encourage Development of the Hospitality Industry of Ames dated February 8, 2005 e AGREEMENT FOR JOINT AND COOPERATIVE ACTIVITY TO ENCOURAGE THE DEVELOPMENT OF THE HOSPITALITY INDUSTRY OF AMES THIS AGREEMENT,made and entered into the day of rj)V , 2005, by and between the CITY OF AMES,IOWA(City), a municipal corporation org d and existing under the laws of the State of Iowa; and the AMES CONVENTION AND VISITORS BUREAU (ACVB), a non-profit corporation. WITNESSETH that: WHEREAS, there has been formed an organization called the"Ames Convention and Visitors Bureau"; and WHEREAS,the City of Ames desires to purchase the services of said organization as hereinafter stated, NOW,THEREFORE,the parties hereto have agreed and do agree as follows: I. The ACVB shall, in consideration of receiving 71.4% of the receipts realized by the City from the imposition of a hotel/motel tax,establish and continue ongoing programs and activities to encourage conventions and events to locate in the City of Ames, including by way of specification,but not limitation, incentives, advertising,promotions, and direct solicitation of prospects. In that regard,the ACVB shall cause to be collected and assembled pertinent information regarding the convention sites, attractions and event opportunities of the Ames area, including meeting facilities,transportation facilities,recreational facilities,visitor accommodations, and such other information as may appear pertinent and useful to persons making decisions relevant to the hospitality market in Ames. Additionally,the City may refer convention or event related requests for funding that the City Council deems appropriate for funding by the ACVB. 2. In consideration of the City's payments of Hotel/Motel Tax revenues to ACVB, ACVB shall serve the City by evaluating and funding requests pertaining to activities and programs that encourage conventions or events, enhance visitors' experiences, and improve the quality of life for residents, including the annual 4th of July fireworks display. In that capacity, ACVB shall evaluate and fund such requests annually in an amount not less than 5%of the Hotel/Motel tax revenues received annually by ACVB from the City. 3. It is understood that payments from the City to the ACVB shall occur within thirty(30) days following the City's receipt of each of the hotel/motel payments from the Iowa Department of Revenue. It is agreed that the City will not advance funds to the ACVB in anticipation of receipts of these hotel tax payments. 4. It is agreed that the ACVB will transmit to the City Council in March of each year an annual report for the previous year's activity and a marketing plan for the upcoming calendar year, along with an expenditure report for hotel and motel tax funds. + { r Y , 5. It is agreed that the policies and activities of the ACVB shall be determined and overseen by a thirteen member governing body to be so composed of persons,having respective voting powers, as follows: a. Four representatives of the Ames hotels/motels, each of whom shall have one vote. b. One representative from Iowa State University,who shall have one vote. C. One representative from Iowa State Center, who shall have one vote. d. One representative of the restaurant industry,who shall have one vote. e. Four representatives at large, each of whom shall have one vote. If possible from the ACVB membership, one representative shall represent the retail industry, one shall represent the convention services industry and one shall represent any category of the ACVB membership. f. Two representatives of the Ames City Council appointed by the Mayor and approved by the Council, each of whom shall have one vote. 6. It is further agreed that the City shall be admitted to full membership in the ACVB and thereby have one vote to be cast toward election of the representatives elected to the governing body as aforesaid, and on all other matters on which members vote under the articles and bylaws of the ACVB. 7. This agreement shall be in effect so long as the City of Ames imposes a hotel and motel tax. IN WITNESS WHEREOF,the parties have caused this instrument to be signed as of the date indicated. Both parties agree that the terms of this instrument will become effective July 1, 2005, only upon passage of the hotel/motel tax question on the April 5,2005, special election, and enactment of the ordinance to impose a 7%hotel and motel tax in the City of Ames.
